Is a company secretary legally required in Malaysia?
Yes. Every company incorporated under the Companies Act 2016 must appoint a licensed company secretary within 30 days of incorporation. Operating without one exposes the company and its directors to severe penalties.
Can I change company secretary without the current one agreeing?
Yes. The board has the absolute right to resolve to remove and replace the secretary. Your outgoing secretary is legally obliged to hand over the statutory records. We manage this entire friction point for you.
What happens if my annual return is already late?
Penalties accrue over time, and your company's SSM status will be marked negatively—which triggers red flags for banks, landlords, and investors. Can I act as my own company secretary?
Only if you hold the required licence issued by SSM, or if you are a member of a prescribed professional body (like MAICSA). Standard directors cannot act as their own company secretary.
